Terms of Service

1. Agreement and service

These Terms of Service govern use of Q Squared Tix, a trade name of Q Squared Systems, LLC (“Q Squared Systems,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these terms on behalf of yourself and, if applicable, the organization you represent.

2. Organizer responsibilities

You are responsible for your events, ticket listings, pricing, refunds, customer communications, and compliance with laws that apply to your business, venue, attendees, marketing, and event operations. You must provide accurate information and maintain all permits, licenses, insurance, and rights needed for your events and content.

3. Payments and third-party services

Paid ticket sales are processed through Stripe. Your use of Stripe and any other connected service is also subject to that provider's terms. You are responsible for Stripe processing charges, chargebacks, refunds, taxes, and any applicable platform or booking fees displayed to you or your customers.

Q Squared Tix does not hold, escrow, or delay release of your ticket-sale proceeds pending your event. Paid ticket charges are processed through your connected Stripe account, and proceeds are made available to you according to Stripe's processing and payout schedule for that account. Stripe may apply reserves, holds, reviews, or other restrictions under its own terms; Q Squared Tix does not control those decisions or Stripe's payout timing.

4. Customer data and communications

You may use customer information obtained through your events only for lawful event administration and communications that customers reasonably expect or have consented to receive. Marketing communications must include a clear, working opt-out method and must honor opt-out requests. You are responsible for your email and SMS sender reputation, consent records, and compliance with anti-spam and messaging laws.

5. Account security

Keep your credentials and connected-service access secure. Promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account and for users you authorize.

6. Acceptable use

You may not use Q Squared Tix to violate law, infringe rights, distribute harmful code, interfere with the service, misrepresent events or ticket availability, or send unsolicited or deceptive communications. We may suspend or terminate access when we reasonably believe these terms or applicable law have been violated.

7. Availability and limitations

We work to keep the service available and secure, but it is provided on an as-available basis. To the fullest extent permitted by law, Q Squared Systems disclaims implied warranties and is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service.

8. Indemnity

You will defend and indemnify Q Squared Systems, LLC and its officers, employees, and contractors against claims arising from your events, content, customer communications, breach of these terms, or misuse of the service.

9. Changes and termination

We may update the service or these terms from time to time. Material changes will be posted here with an updated effective date. You may stop using the service at any time; obligations that by their nature continue after termination will remain in effect.

10. Governing law

These terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles. Any dispute arising from these terms or the service will be brought exclusively in the state or federal courts located in Iowa, and you consent to their jurisdiction and venue.
